Amicoda Terms of Use Agreement

WE DO NOT CONDUCT CRIMINAL BACKGROUND CHECKS ON OUR MEMBERS.
By accessing or using Amicoda (the “Service”), you agree to these Terms of Use, our Privacy Policy, and all incorporated guidelines. If you do not agree, do not use the Service.
1. Eligibility and Local Compliance
- Age Requirement: You must be at least 18 years old or the age of majority in your jurisdiction, whichever is older.
- Jurisdictional Law: You are solely responsible for ensuring that your use of the Service complies with all local, provincial, territorial, state, federal, and national laws, statutes, and regulations applicable in your region (including Canadian law, where applicable). Use of the Service is void where prohibited.
2. Safety and Interactions
- Your Responsibility: We do not screen members or verify their backgrounds. You are solely responsible for your interactions, communications, and safety, both online and offline.
- Communications: You consent to receive service-related and commercial electronic messages from us.
3. Acceptable Use and Content
- Personal Use Only: The Service is for non-commercial, personal use.
- Prohibited Conduct: You may not use the Service to harass, defraud, distribute spam, or post illegal, abusive, obscene, or infringing content.
- Your Content: You own the content you post, but you grant Amicoda a worldwide, perpetual, non-exclusive license to use, display, and distribute it. We reserve the right to remove any content or terminate accounts at our sole discretion.
- Our Intellectual Property: Amicoda retains all rights to its software, trademarks, and content. You may not copy, modify, or distribute our IP without permission.
4. Subscriptions and Virtual Currency
- Billing: Subscriptions are billed through Stripe and are subject to their terms. stripe.com/en-ca/legal/ssa-services-terms
- Auto-Renewal: Subscriptions automatically renew unless canceled prior to the end of the current billing period.
- No Refunds: All purchases, including virtual gifts and currency, are final, non-refundable, and have no monetary value outside the Service, except where mandated by local law.
5. Copyright Claims
If you believe your copyrighted work has been infringed, please submit a formal notice (complying with applicable intellectual property laws, such as Canada's Notice-and-Notice regime) via email to: [email protected].
6. Disclaimers and Limitation of Liability
- “As-Is” Basis: The Service is provided “as is” without warranties of any kind. We do not guarantee uninterrupted or secure access.
- Limitation of Liability: To the maximum extent permitted by applicable Canadian and local laws, Amicoda and its affiliates are not liable for any indirect, incidental, or consequential damages arising from your use of the Service or the conduct of third parties.
7. Dispute Resolution and Governing Law
- Governing Law: This Agreement is governed by the applicable laws of Canada and the specific laws of the province, territory, or state in which you reside, without regard to conflict of law principles.
- Arbitration and Class Action Waiver: To the fullest extent permitted by the laws of your jurisdiction, any disputes arising out of this Agreement shall be resolved through final and binding individual arbitration. You waive any right to participate in a class-action lawsuit or class-wide arbitration. If your local laws strictly prohibit binding arbitration for consumers, disputes will be resolved in the competent courts of your jurisdiction.
